2017-08-21 101 0 ORDER. Counsel for plaintiffs has indicated that plaintiffs' former counsel's firm, Krislov & Associates, has refused to release plaintiffs' legal files, despite several requests. Under Connecticut law, former counsel may assert a retaining lien to protect the attorney's fee. See Marsh, Day & Calhoun v. Solomon, 529 A.2d 702, 706 (Conn. 1987). However, counsel must release the files of a client if there has been "payment, the furnishing of adequate security or, of course, a mutually acceptable arrangement between the parties." Id. See also Connecticut Bar Assoc., Formal Opinion 31 (1988 Revision) ("We hold that a discharged lawyer on a contingency fee violates [the Connecticut Rules of Professional Conduct] when he retains the file after demand for surrender if (a) there is an agreement with the client or successor counsel concerning payment of fees and expenses or (b) successor counsel provides the discharged lawyer with a letter that he will hold in his clients' funds sufficient proceeds from the settlement to pay the discharged lawyer what he would have been entitled to under his contingency fee agreement... until the fee dispute is resolved by a court or otherwise."). Further, counsel must release the files if "failure to turn over the file injures the client's rights." Id., see also Conn. Rules of Prof. Conduct, Rule 1.16(d) ("Upon termination of representation, a lawyer shall take steps to the extent reasonably practicable to protect a client's interests, such as... surrendering papers and property to which the client is entitled[.]"). "[U]nwarranted retention of the file and failure to, in any manner, cooperate with successor counsel can raise equitable considerations that could operate to prior counsel's detriment[.]" Bershtein, Bershtein & Bershtein, P.C. v. Nemeth, 603 A.2d 389, 392 (Conn. 1992). Plaintiffs' current counsel have an obligation, under the law, to prior counsel; plaintiffs' prior counsel has an obligation, under the law, as well. However, the two sets of counsel have made no representation to the Court that they have attempted to resolve this issue in a reasonable and professional manner. Accordingly, plaintiffs' current and former counsel shall immediately meet and confer in an attempt to reach a resolution that will result in the transfer of the files. On or before the close of business on August 28, 2017, plaintiffs' current counsel of record and former counsel Krislov & Associates shall file a joint notice on the docket indicating that a resolution has been reached and stating a date by which the files will be transferred. If no resolution has been reached, plaintiffs' current and former counsel shall file a joint status report describing their efforts to resolve this issue, and their respective positions. On October 6, 2017, the Court conducted a telephonic conference in which plaintiff's current and former counsel participated, in an effort to resolve the dispute over the custody of plaintiffs' files. In response to the discussion in that conference, plaintiffs' former local counsel Attorney Brenden Leydon of Tooher Wocl & Leydon, L.L.C. has filed a memorandum requesting that plaintiffs' current counsel "confirm in writing that they will escrow any fees in this case pending resolution of the fee dispute claim[]" before Tooher Wocl & Leydon, L.L.C. produces its file to new counsel. Doc. # 122 at 3. In support of this position, Attorney Leydon cites Connecticut Bar Association Formal Opinion 31, which discusses the obligation of a discharged lawyer who had been representing a plaintiff on a contingency fee basis to turn over the client's file to successor counsel. See Connecticut Bar Assoc., Formal Opinion 31 (1988 Rev.). However, Attorney Leydon has not represented that Tooher Wocl & Leydon, L.L.C. had a contingency fee agreement with plaintiffs in this matter. Indeed, plaintiffs' current counsel has filed a response to Mr. Leydon's memorandum stating that they "d[o] not believe there was a written fee agreement between Leydon and either Plaintiff or between Leydon and Krislov." Doc. # 125 at 1. Rule 1.5 of the Connecticut Rules of Professional Conduct, which is incorporated into the District of Connecticut Local Rules of Civil Procedure, is relevant here. See D. Conn. Local R. Civ. P. 83.2 (incorporating Rules of Professional Conduct). Rule 1.5 requires that "[a] contingent fee agreement shall be in a writing signed by the client[.]" Conn. R. Prof. Conduct 1.5(c). If the firm of Tooher Wocl & Leydon, L.L.C. had a written fee agreement with either plaintiff or with the Krislov firm, the Court has not been made aware of it. In the absence of such an agreement, the Court does not see the applicability of Opinion 31 to this situation. However, under Connecticut law, an attorney or law firm may be able to collect a fee even if the fee agreement was never reduced to writing, either directly, or under a theory of quantum meruit or unjust enrichment. See O'Connor v. Norman, No. 3:08CV1773(MRK), 2011 WL 219666, at *5 (D. Conn. Jan. 21, 2011); Gagne v. Vaccaro, 766 A.2d 416, 418 (Conn. 2001). Accordingly, and because current plaintiffs' counsel has "agreed to protect any fees and expenses to which Leydon may be entitled[,]" see Doc. # 125 at 2, the Court suggests that Tooher Wocl & Leydon, L.L.C. provide current plaintiffs' counsel with an accounting of the fees and expenses it has incurred under a lodestar accounting method, so that the attorneys involved may attempt to reach an agreement as to what amount might be set aside if in fact a recovery is made by plaintiffs. On or before October 23, 2017, current plaintiffs' counsel and Tooher Wocl & Leydon, L.L.C. shall report back to the Court whether this dispute has been resolved. On October 16, 2017, the Court issued an Order addressing the dispute between plaintiffs' former local counsel, Tooher Wocl & Leydon, L.L.C., and plaintiffs' current counsel regarding the refusal of Tooher Wocl & Leydon, L.L.C. to provide a copy of its file in this matter to current counsel. See Doc. #127. In that Order, the Court suggested that "Tooher Wocl & Leydon, L.L.C. provide current plaintiffs' counsel with an accounting of the fees and expenses it has incurred under a lodestar accounting method, so that the attorneys involved may attempt to reach an agreement as to what amount might be set aside if in fact a recovery is made by plaintiffs." See id. On October 23, 2017, current plaintiffs' counsel filed a status report indicating that Tooher Wocl & Leydon, L.L.C. complied with the Court's Order by providing current plaintiffs' counsel with an accounting of its fees and expenses. See Doc. # 128 at 1. However, current plaintiffs' counsel stated that the amount that should be set aside for Tooher Wocl & Leydon, L.L.C. fees and expenses is still in dispute, asserting various concerns, including that the fees and expenses asserted included fees and expenses incurred in a prior, closed case. See id. at 1-2. It appears that Tooher Wocl & Leydon, L.L.C. did not have a written fee agreement with either plaintiff, even though such an agreement is required by Rule 1.5 of the Connecticut Rules of Professional Conduct. See Conn. R. Prof. Conduct 1.5; D. Conn. Local R. Civ. P. 83.2 (incorporating Rules of Professional Conduct). Tooher Wocl & Leydon, L.L.C. has not asserted that it has any contingency fee agreement with either named plaintiff or with the Krislov firm; the presence of a contingency fee agreement is what would trigger the applicability of Connecticut Bar Association Formal Opinion 31, upon which Tooher Wocl & Leydon, L.L.C. relies. See Connecticut Bar Assoc., Formal Opinion 31 (1988 Rev.); Doc. # 122 , Doc. #127. The Court notes this issue in its prior order. See Doc. #127. Accordingly, under these circumstances, the Court sees no basis on which to require current plaintiffs' counsel to set aside funds to pay Tooher Wocl & Leydon, L.L.C. before ordering surrender of the file. If plaintiffs eventually receive funds as a result of the resolution of this case, Tooher Wocl & Leydon, L.L.C. may apply to the Court for an award of fees and costs or may bring a separate action seeking payment from current counsel. Tooher Wocl & Leydon, L.L.C. shall surrender plaintiffs' legal files to plaintiffs' current counsel of record on or before October 31, 2017.
